The name of this organization shall be North Louisiana Quilters’ Guild, aka NLQG/the Guild.
ARTICLE II - PURPOSE
The purpose of this organization shall be to promote good fellowship among persons interested in the art of quilting; to preserve its tradition, culture, and history; to further promote the knowledge and understanding of all aspects of quilting; and to enjoy and appreciate the work of others.
ARTICLE III – GOVERNANCE
The Guild shall be governed by this constitution, bylaws, and a Policy & Procedure document.
ARTICLE IV – MEMBERSHIP
Section 1 – The Guild: Any person subscribing to the purpose and bylaws of the Guild may become a member upon payment of current annual dues to an active chapter.
Section 2 - Chapters: Chapters shall admit to membership any person sincerely desiring to support the purpose of this organization.
ARTICLE V - ORGANIZATION
The Guild consists of chapters.
ARTICLE VI - DUES
Dues will be determined by the Executive Board and will be sufficient to cover items budgeted yearly. The fiscal year for North Louisiana Quilters’ Guild will be July 1st through June 30th. ARTICLE VII – OFFICERS

Section 2 – Executive Board of the Guild: Guild President Guild Vice President Guild Secretary Guild Treasurer Guild Historian Guild Parliamentary Advisor (Non-Voting) Chapter Presidents Chapter Representatives to the Executive Board Chairman of the Communications & Publicity Committee Chairman of the Quilt Show Committee Chairman of the Activities Committee
Section 3 – Chapter Officers: President Vice-President Secretary Treasurer Historian Parliamentary Advisor (Optional)
ARTICLE VIII - MEETINGS
Section 1 - The Guild: Guild meetings will be held at least three times a year.
Section 2 - Executive Board: The Executive Board shall meet at least three times a year as determined by the Guild President.
ARTICLE IX - PARLIAMENTARY PROCEDURE
Robert’s Rules of Order, (Newly Revised) shall govern this organization.
ARTICLE X - QUORUM
Motions may be passed by a majority of members present at regularly scheduled Guild and Chapter meetings unless otherwise stated in other sections of this document.
ARTICLE XI DISOLUTION CLAUSE
Section 1 - The Guild: In the event that the North Louisiana Quilters’ Guild should disband, the Executive Board, after paying all liabilities of the Guild, shall disburse all funds and properties remaining in the treasury to organizations exempt from income tax under the provisions of Section 501 (D and C) under the Internal Revenue Code. No part of the assets of this club shall ever be distributed to or used for the benefit of any member or officer of the club or any private individual or corporation. Section 2 - Chapters: In the event that an NLQG chapter should disband, all funds and properties remaining in the chapter treasury after paying all chapter liabilities shall revert to the Guild.
